Grand City Properties S.A. - Board of Directors resolves on Size-Up of Series B Tap Issue to EUR 150 million - Update to previous announcement
Due to the strong demand from investors following today's announcement of Grand City Properties S.A. ("Company") to carry out a tap issue of the Company's unsubordinated, senior secured straight bonds maturing in June 2020 ("Series B Bonds"), the Board of Directors of the Company resolved to size up the announced tap issue by issuing additional 50,000 Series B Bonds with a nominal value of EUR 50,000,000 and a denomination of EUR 1,000 each, and thereby increasing the total number of Further Series B Bonds to be issued to 150,000 with a nominal value of EUR 150 million. The total aggregate principal amount of the Series B Bonds will thereby increase to EUR 350 million. All Further Series B Bonds will be issued at 107.25 % of their principal amount. Morgan Stanley acted as sole underwriter.
There will be no public offering of the Further Series B Bonds. The Further Series B Bonds will be listed on the Open Market (Entry Standard for Bonds) of the Frankfurt Stock Exchange on or around 15 April 2014 and will form a single series with the existing Series B Bonds under the existing ISIN XS0937063310 on or around 26 May 2014.
